End-User License Agreement for access and use of the Maori Business and Professional Associations Online business portal -------------------------------- IMPORTANT-PLEASE READ CAREFULLY: -------------------------------- This End-User License Agreement ("EULA") is a legal agreement between you (including but not limited to natural person and legal entity) and The Maori Business & Professionals Association, ("MBPA"), which governs your use of the Associations website and on-line business portal. The Maori Business & Professionals Association’s (MBPA) business portal is accessible worldwide to anyone with Internet access. Access to and use of the Service and the Sites are subject to the terms and conditions of this User Agreement and Copyright Notice and all applicable laws and regulations, including laws and regulations governing copyright and trademark. The Maori Business & Professional Association is a non profit organisation that has grown out of the Maori Womens Development Inc. www.mwdi.co.nz The establishment of the online business portal provides a forum for Maori businesses and Maori Professionals to trade together and do business on line wherever they may be across the globe. To access the services of the site you need to be Maori or a partner in a business with the Maori partner owning no less than 50% of the business.BY ACCESSING THE SERVICE AND THE SITES, YOU ACCEPT, WITHOUT LIMITATION OR QUALIFICATION, ALL OF THE TERMS AND CONDITIONS IN THIS END USER AGREEMENT. The MBPA reserve the right to change these terms and conditions at any time. By using the service’s and the site, you agree in advance to accept any changes. The Service refers to the tools provided for Maori Businesses and the sites provides a forum for Maori businesses and Maori Professionals to trade together and do business on-line wherever they may be within New Zealand and across the globe. Disclaimer By proceeding to the information beyond this notice, each user waives and releases the Maori Business & Professionals Association (MBPA) to the full extent permitted by law from any and all claims relating to the usage of material or information made available through this system. In no event shall the MWDI be liable for any incidental or consequential damages resulting from use of the material. In particular and without limit to the generality of the above, information provided in the website for Maori Businesses & Professionals is considered to be true and correct at the time of publication. Terms and Conditions These general terms and conditions of use apply to all users of the Maori Businesses and Professionals Assoc (MBPA) website (the Site). By viewing and using the Site you will be deemed to agree to the following terms and conditions of use and the Privacy Statement without qualification. If you do not agree to be bound by these terms and conditions then you must stop accessing and using the Site. 1. Copyright and Limited Reproduction Notices: The contents of the Site are the copyright of the MBPA or suppliers to it. No part of the Site may be distributed or copied for any commercial purpose and you are not permitted to incorporate the material or any part of it in any other work or publication (whether in hard copy, electronic or any other form) without the prior written consent of MBPA. Linking: The contents of the Site may include links to third party materials (Linked Sites). MBPA will not be responsible for the contents of any Linked Site or liable for any direct or indirect loss or damage suffered by you from accessing, using, relying on or trading with third parties. These links are provided to you only as a convenience, and the inclusion of any link does not imply MBPA’s endorsement of the Linked Sites or any association with their operators. MBPA reserves the right to prohibit links to the Site and you must remove or cease any link at MBPA’s request. Advertisers: Any dealings with any advertiser appearing on the Site are solely between you and the advertiser. MBPA is not responsible or liable for any part of any such dealings or promotions. 4. Registration: To become a registered user, you must complete the registration process by providing MBPA with current, complete and accurate information as prompted by the registration form. MBPA reserves the right to reject any application for registration. 5. Disclaimer: The Site makes certain information and material available to you as a service, either through MBPA, its suppliers or otherwise. You acknowledge that MBPA does not offer any opinion with respect to the nature, potential value or suitability of any particular transaction or strategy. Use of information contained on the Site is at your own risk and MBPA is not responsible for any adverse consequences arising out of such use. The material provided on the Site has not been prepared by taking into account the particular objectives, situation or needs of any individual users. MBPA reserves the right to change the information on the Site at any time. 6. Limitation of Liability and Indemnity: Although reasonable care has been taken to ensure the facts stated in the Site are accurate and the opinions given are fair and reasonable, MBPA does not give any warranty of accuracy, reliability or fitness for any purpose of the information contained on the Site to you or any other person. To the fullest extent permitted by law, MBPA excludes all responsibility and liability in relation to the Site and MBPA will not be responsible for errors or misstatements or be liable, whether in contract, tort (including negligence) or otherwise, for any loss or damage however caused (including direct, indirect, consequential, special, or loss of profits). You will take all necessary action to defend and indemnify MBPA, its officers and employees against all costs, expenses and damages incurred in connection with any claim brought by a third party against MBPA arising from a breach by you of any of these terms and conditions, the Registered Users’ Specific Terms and Conditions or the Privacy Statement. 7. Amendments: MBPA reserves the right to change these terms and conditions of use, the Registered Users’ Specific Terms and Conditions and the Privacy Statement (Amendments) at any time by notifying users of the existence of the Amendments through the Site. By continuing to access the Site, you agree to be bound by the Amendments. 8. Law: These terms and conditions are governed by and will be construed in accordance with the laws of New Zealand and you submit to the jurisdiction of the courts of New Zealand. 9. No Representations: The availability of information on the Site does not constitute a recommendation by MBPA or any other person into any transaction. Nor is MBPA to be treated as an issuer or promoter or as offering securities to any person. If you enter into any transaction subsequent to accessing the Site, you do so entirely in reliance on your own judgement and inquiries and not in reliance on any statements, warranties or representations (other than the warranties set out in such agreement) made to you or to any other person by or on behalf of MBPA. You release MBPA from all claims arising from any statement or representation made on the Site. Accordingly all express or implied warranties and representations are excluded to the maximum extent permitted by law. 10. Professional Advice: MBPA strongly recommends that you confirm any information appearing on the Site relating to a particular transaction. MBPA also recommends that potential contracting parties discusses their particular requirements and consult their professional advisors before proceeding with transactions. 11. Refunds Policy: After a business has registered for a one year membership, there will be no refunds for that year. The memebership will expiry exactly 1 year from the date of registration. Coverage - Tenders, Contracts and other Opportunities Q. What does the portal for MBPA cover in the way of Tenders, Contracts and other Opportunities? A. The MBPA business portal covers oppurtunities for people to post up projects. Q. What is my Email Address used for? A. Your personal Email Address is used for a few reasons: Q. Why have a login? A. The MBPA business portal provides password protected sites that allows transactions, negotiations between businesses and forums to take place. Q. What is my login? A. If you have registered (and been granted access) you require your email address as your username, and a password. Q. What if I have lost my password? A. Click on Login and then click the 'Forgot Password' button. MBPA will then automatically email you a replacement password. Alternatively, contact the MBPA to reset your password. Q. Why keep information about me and my company? A. You can personalise your view of the web and MBPA can inform you of opportunities of interest to you. Keeping your contact details up-to-date are important: eg, to arrange visits, to forward your company contact details onto Major Projects and other procurement opportunities, and also to send you information, such as notification of opportunities or latest news bulletin |
